Matthew’s practice focuses on serving the needs of businesses, whether early-stage startup, well-established, large, or small. Increasingly, his clients desire to structure their businesses with the goals of achieving both community purpose and profit. Matthew counsels these clients on the merits of organizing as a benefit corporation or obtaining B Corporation certification to demonstrate this commitment both internally and to their customer base. Matthew has negotiated and completed numerous transactions, from complex commercial leases to corporate acquisitions and mergers. He provides his clients with exceptional and creative legal services and takes special care to explain complicated legal issues in an honest and straightforward manner.
Matthew is also an experienced litigator and strives to resolve disputes efficiently and cost-effectively. Where settlement negotiations break down, he is not afraid to take the dispute to court, and appeal, if necessary. He has litigated an array of matters, including complex commercial disputes, real property disputes, and patent litigation.
Like so many of the businesses he represents, Matthew understands that what is good for the community is also good for business. Matthew’s passion for literacy and education inspires him to volunteer his time with various like-minded organizations throughout Wisconsin. He also regularly volunteers with the Milwaukee Justice Center Mobile Legal Clinic.
Representative client matters include:
- Counseling business owners on the creation of new business ventures including corporations, benefit corporations, partnerships, and limited liability companies.
- Negotiating and drafting business contracts for the licensing of intellectual property.
- Representing purchasers and sellers in asset and stock purchase transactions.
- Negotiating and drafting simple and complex commercial real estate leases.
- Working with business clients to develop policies in compliance with a range of federal laws and regulations, including Title VII, the Americans with Disabilities Act (ADA), Age Discrimination in Employment Act (ADEA), Family and Medical Leave Act (FMLA), and Occupational Safety and Health Administrative (OSHA) regulations.
- Transaction team member on client’s successful acquisition of multiple healthcare facilities, which presented varied and complex issues including HUD compliance and licensing considerations.
- Represented construction company as part of litigation team that successfully obtained summary judgment against construction defect claims totaling $650,000. On appeal, obtained affirmance of summary judgment and award of attorneys’ fees.
On appeal, successfully obtained reversal of trial court’s Order dismissing municipal client from action involving dispute over bequest.
